1. Agreement to Terms
By accessing or using the website https://642harrisonst.com (the “Site”), operated by Club642 through Transwestern, you agree to be bound by these Terms and Conditions (“Terms”). If you disagree with any part of these terms, you may not access the Site. These Terms apply to all visitors, users, and others who access or use the Site.
2. Description of Services
Club642 is a hospitality-infused commercial workspace located at 642 Harrison Street, San Francisco. Our website provides information about available workspace properties including Suite #300, Suite #400, Building Amenity Spaces, and Club 625 at 625 Third Street. The Site allows visitors to view available spaces, request information, schedule property tours, and contact our leasing team.
3. Intellectual Property Rights
Unless otherwise indicated, the Site and all content and other materials on the Site, including, without limitation, the Club642 logo, and all designs, text, graphics, pictures, information, data, software, sound files, photographs, images, renderings, floor plans, and the selection and arrangement thereof (collectively, “Content”) are the proprietary property of 642 Harrison St, Transwestern, or their licensors or users and are protected by U.S. and international copyright, trademark, and other intellectual property laws.
4. User Representations
By using the Site, you represent and warrant that:
- (a) you have the legal capacity and you agree to comply with these Terms;
- (b) you are not a minor in the jurisdiction in which you reside;
- (c) you will not access the Site through automated or non-human means, whether through a bot, script or otherwise;
- (d) you will not use the Site for any illegal or unauthorized purpose; and
- (e) your use of the Site will not violate any applicable law or regulation
5. Prohibited Activities
You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. Prohibited activities include but are not limited to: systematically retrieving data or other content from the Site; making any unauthorized use of the Site; using the Site to advertise or offer to sell goods and services; circumventing, disabling, or otherwise interfering with security-related features of the Site; engaging in unauthorized framing of or linking to the Site; and uploading or transmitting viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use of the Site.

The information provided on this Site regarding commercial workspace properties, including square footage, amenities, pricing, availability, and renderings, is for general informational purposes only. While we endeavor to keep the information up to date and correct, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of the information, products, services, or related graphics contained on the Site. All property rentals and leases are subject to separate written agreements and verification.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
8. Limitation of Liability
In no event shall Club642, Transwestern, or their directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- (a) your access to or use of or inability to access or use the Site;
- (b) any conduct or content of any third party on the Site;
- (c) any content obtained from the Site; and
- (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
9. Indemnification
You agree to defend, indemnify, and hold harmless Club642, Transwestern, and their subsidiaries, affiliates, officers, agents, co-branders, partners, licensors, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from:
- (a) your use of and access to the Site;
- (b) your violation of any term of these Terms;
- (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
- (d) any claim that your use of the Site caused damage to a third party.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
11. Dispute Resolution
Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in San Francisco County, California, and you and we hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after those revisions become effective, you agree to be bound by the revised terms.
